Zonfair Brand Partner Terms & Conditions (California)

These Zonfair Brand Partner Terms & Conditions (“Terms”) govern your participation in the
Zonfair Brand Partner Program.
By registering, clicking “I Agree,” or participating in the program, you (“Partner,” “you”)
agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not register or participate in the program.

1. About Zonfair

Zonfair is a multi-brand commerce platform that enables approved third-party brands
to sell products through curated online, offline, livestream, and digital sales channels.

Zonfair does not manufacture, own, or guarantee any listed brand or product
unless explicitly stated in writing.

2. Brand Partner Relationship

By registering as a Zonfair Brand Partner, you acknowledge and agree that:

  • You are an independent Zonfair Brand Partner.
  • You represent Zonfair as a platform only, not any individual brand.
  • You are not an employee, agent, franchisee, or joint venture partner of Zonfair.
  • You have no authority to bind Zonfair or any brand to any contract or obligation.
  • No partnership, employment, agency, or fiduciary relationship is created.

3. Independent Contractor Status (California Law)

You expressly acknowledge and agree that you are acting as an
independent contractor under California law.

  • You control how, when, where, and whether you perform promotional or sales activities.
  • You may promote other platforms or brands at your discretion.
  • You provide your own tools, audience, methods, and resources.
  • You are solely responsible for all taxes, insurance, licenses, permits, and legal compliance.

Zonfair does not:

  • Set work hours or schedules.
  • Require minimum activity levels.
  • Provide employee benefits.
  • Supervise or control day-to-day performance.

This structure is intended to comply with California independent contractor standards,
including AB-5 and the Borello test.

4. Authorization & Scope

You may:

  • Promote and sell approved brands listed on the Zonfair platform.
  • Use Zonfair-approved links, tracking systems, discount codes, and materials.
  • Participate in online, offline, livestream, or event-based selling when approved.

You may not:

  • Claim to represent any brand directly without written authorization.
  • Claim exclusivity, ownership, or official agency status.
  • Set pricing, warranties, guarantees, or contractual terms.
  • Sell unapproved products under the Zonfair name.
  • Misrepresent your relationship with Zonfair or its brands.

5. Commissions & Compensation

  • Compensation is commission-based only.
  • Commissions are earned solely on verified and properly tracked sales.
  • Commission rates may vary by brand, campaign, channel, and Partner tier.
  • Payout schedules, minimum thresholds, and payment methods may apply.

Zonfair reserves the right to withhold, adjust, delay, or reverse commissions due to:

  • Refunds, cancellations, or chargebacks.
  • Fraud, abuse, or manipulation.
  • Policy violations.
  • Tracking errors or misuse.

All commission determinations by Zonfair are final.

6. Partner Tiers & Badges

Zonfair may assign Partner tiers or badges, including but not limited to
Registered, Certified, Senior, or Elite.

  • Tiers and badges are privileges, not rights.
  • They are non-transferable and revocable.
  • Zonfair may upgrade, downgrade, suspend, or revoke status at any time.
  • Badge designs may not be altered or misrepresented.
  • Misuse may result in suspension or termination.

7. Conduct & Compliance

You agree to:

  • Make truthful, accurate, and substantiated claims.
  • Comply with all applicable laws, including advertising and consumer protection laws.
  • Follow FTC disclosure requirements where applicable.
  • Maintain professional conduct online, offline, and at events.

You may not:

  • Engage in deceptive, misleading, or spam practices.
  • Make medical, financial, or legal claims without authorization.
  • Damage the reputation of Zonfair or its listed brands.

8. Intellectual Property

All Zonfair trademarks, logos, and materials are the exclusive property of Zonfair.
Brand trademarks belong to their respective owners.

You are granted a limited, revocable, non-exclusive license to use approved materials
solely for authorized activities.

Content you create in connection with Zonfair promotions may be reused by Zonfair
for marketing purposes unless prohibited by law.

9. Confidentiality

You agree to keep confidential all non-public information, including:

  • Commission structures.
  • Brand agreements.
  • Internal strategies, data, and communications.

This obligation survives termination.

10. Termination

Zonfair may suspend or terminate your participation at any time, with or without notice,
including for misrepresentation, fraud, policy violations, or conduct harmful to Zonfair
or its brands.

Upon termination, you must immediately cease using Zonfair branding, materials,
and any claims of affiliation.

11. Limitation of Liability

To the fullest extent permitted by California law:

  • Zonfair shall not be liable for indirect, incidental, or consequential damages.
  • Zonfair’s total liability shall not exceed unpaid commissions owed to you, if any.

12. Governing Law & Venue

These Terms are governed by the laws of the State of California,
without regard to conflict-of-law principles.

Any dispute shall be brought exclusively in the state or federal courts located in California,
and you consent to such jurisdiction.

13. Modifications

Zonfair may update these Terms at any time.
Continued participation after any update constitutes acceptance of the revised Terms.

14. Acceptance

By clicking “I Agree,” registering, or participating as a Zonfair Brand Partner,
you confirm that:

  • You have read and understood these Terms.
  • You voluntarily agree to be legally bound.
  • You acknowledge that violations may result in termination without compensation.
